These Terms of Use (“Terms”) govern your access to and use of the website at www.tyauxiliary.com (the “Website”) and any quotation, order or supply of goods and services by Suzhou Tongyi Automation Machinery Co., Ltd. (“TONGYI”, “we”, “us” or “our”). By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
1. About us
Suzhou Tongyi Automation Machinery Co., Ltd. is a manufacturer of plastic processing automation equipment and material handling systems, with its registered and manufacturing address at Building 25, Intelligent Manufacturing Park, Luzhi Town, Wuzhong District, Suzhou, 215127, Jiangsu, China. You can contact us at unifytongyi@gmail.com or +86 13915596725.
2. Definitions
“Equipment” means the machinery, systems, spare parts and related goods supplied by TONGYI. “Services” means engineering, layout planning, installation supervision, commissioning, training and technical support provided by TONGYI. “Customer” means the legal entity purchasing Equipment or Services.
3. Use of the Website
You may use the Website for lawful business purposes only. You agree not to:
- copy, reproduce, republish or redistribute Website content for commercial purposes without our written consent;
- use automated tools to scrape content in a manner that places an unreasonable load on our servers;
- attempt to gain unauthorised access to any part of the Website, its servers or connected systems;
- upload or transmit any malicious code, or interfere with the proper working of the Website;
- use the Website in any way that breaches applicable export control, sanctions or customs regulations.
4. Product information and specifications
Product descriptions, drawings, dimensions, capacities, images and technical data on the Website are provided for general guidance. Equipment is frequently engineered to order, and specifications may change without notice as part of continuous product development. The binding specification for any purchase is the technical annex agreed in the signed contract or order confirmation, not the Website content.
Photographs and renderings may include optional items, site-specific installations or third-party equipment that are not part of the standard supply. Always confirm the exact scope of supply in writing before ordering.
5. Quotations and orders
All prices shown or discussed are indicative unless stated otherwise, and are exclusive of taxes, duties, freight, insurance and installation unless expressly included. A quotation is valid for the period stated on it, or for 30 days if no period is stated. No contract is formed until TONGYI issues a written order confirmation or proforma invoice and, where applicable, receives the agreed deposit.
Where a quotation depends on customer-supplied information such as material type, machine count, throughput or site conditions, TONGYI reserves the right to revise the quotation if that information proves inaccurate.
6. Prices and payment
Unless otherwise agreed in writing, payment terms are 30% deposit with order and 70% before shipment. Accepted payment methods and bank details are stated on the proforma invoice. Bank charges, currency conversion costs and any withholding taxes are for the Customer’s account. Late payment may result in suspension of production or shipment and may attract interest at the rate stated in the contract.
7. Delivery, risk and title
Delivery terms are as stated in the order confirmation, normally FOB a Chinese port or CIF to the named destination under Incoterms 2020. Delivery dates are estimates given in good faith and depend on timely receipt of the deposit and technical approvals. Risk passes according to the agreed Incoterm. Title to the Equipment passes to the Customer only when full payment has been received.
8. Installation, commissioning and training
Unless included in the scope of supply, installation and commissioning are the Customer’s responsibility. Where TONGYI provides commissioning support, the Customer must ensure that utilities, foundations, access and safety conditions at site are ready before our engineers arrive. Standby time caused by site unreadiness may be charged at our standard daily rate.
9. Warranty
TONGYI warrants that the Equipment will be free from defects in material and workmanship for a period of 12 months from commissioning or 18 months from shipment, whichever occurs first, unless a different period is stated in the contract.
The warranty does not cover: consumable parts (filters, seals, belts, heating elements and similar wear items); damage caused by incorrect installation, operation or maintenance; use outside the specified ratings; unauthorised modification or repair; damage in transit after risk has passed; or damage caused by events outside our reasonable control.
Our obligation under warranty is limited, at our option, to repair or replacement of the defective part. Warranty service is provided at our factory or by remote diagnosis; on-site attendance is subject to separate agreement.
10. Intellectual property
All content on the Website, including text, drawings, photographs, technical documentation, logos and software, is owned by TONGYI or its licensors and is protected by copyright, trademark and other laws. You may not reproduce, modify, distribute or create derivative works from it without our prior written permission. Product names and model designations such as TCD, TMW, TMA, TCH, TMC, TCO, TSA, TMV, THA, TMD and the TONGYI name and logo are our trademarks.
Technical documentation supplied with the Equipment is licensed to the Customer for the purpose of operating and maintaining the Equipment, and must not be disclosed to third parties without our consent.
11. Confidentiality
Each party may receive confidential information from the other in connection with a quotation or project, including drawings, process data and commercial terms. The receiving party must use that information only for the purpose for which it was disclosed and must protect it with at least reasonable care. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
12. Limitation of liability
To the maximum extent permitted by law, TONGYI is not liable for indirect, incidental, special or consequential loss, including loss of production, loss of profit, loss of orders or damage to goodwill, however arising. Our total aggregate liability in connection with any order is limited to the invoiced value of the Equipment and Services supplied under that order.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
13. Customer responsibilities
The Customer is responsible for: verifying that the Equipment is suitable for its intended process and materials; complying with all applicable safety, electrical and environmental regulations at site; providing accurate technical information before order; maintaining the Equipment in accordance with the operating manual; and ensuring that operators are trained and that safety devices remain functional.
14. Third-party links and components
The Website may link to third-party sites. We do not control and are not responsible for their content or practices. Equipment may incorporate third-party components such as PLCs, motors, compressors or sensors; those components may carry their own manufacturer warranties, which we will pass on to the Customer where possible.
15. Privacy and cookies
Our handling of personal data is described in our Privacy Policy, and our use of cookies is described in our Cookie Policy. Both form part of these Terms.
16. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemic, war, civil unrest, governmental action, port congestion, or shortages of energy or raw materials. The affected party must notify the other promptly and use reasonable efforts to mitigate the delay.
17. Governing law and disputes
These Terms and any contract concluded under them are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules. The parties will first attempt to resolve any dispute through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the competent court at the place where TONGYI is registered, unless the contract provides for arbitration. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
18. Changes to these Terms
We may update these Terms from time to time. The version published on the Website at the time of your visit applies to your use of the Website. For orders, the Terms in force at the date of the order confirmation apply. Material changes will be indicated by the “Last updated” date at the top of this page.
19. Severability and entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. For supply of Equipment, the signed contract together with its annexes constitutes the entire agreement between the parties and supersedes any prior quotation, correspondence or Website content on the same subject.
